Searching went through a lawsuit last year that all but leveled the company. This created quite a few liabilities that needed to be cleaned up before we can proceed. At the same time I'm starting Searching I am now a consultant and have taken an interest in two side projects while I'm about to launch an online news channel and all of this while I am now running for Congress.... a crazy schedule to be certain.

I am interested in finishing the original deal and am now putting together a venture round for Searching that would cover your domain.

I will do what I can to speed this process and as I am turning over my companies to VC while I run for Congress and after if I win, this is occurring right now as I write this email.

Thanks and please hold tight as I see this finishing sooner than later and probably within the next sixty days or less.

Certainly, Currently Searching, Inc., a WA Corporation is being closed.

There are bad people in the world and we met some of them. They convinced us to take the company offshore, a lawsuit ensued when I was not given proof of any ownership in this new entity as promised and when it became questionable howlegitimate it was to take it offshore. As Searching had also become deeply involved in the bittorrent space it seemed important to cut all ties to this old company now that the lawsuit is behind us and settled to our favor as of June last year and as we are no longer working in the torrent space. Searching and BitZip.com are being closed now and a new company is taking over assets.

GottsMedia, Corp., which is now being formed, and does not yet even have a bank account, will be the purchaser of the domain, not myself. I expect that we will have that together in short order and then it is just a matter of putting something together through an escrow, I suppose you would fill that purpose since you are billing your client's anyhow.

GottsMedia won't be using the domain as a destination site once acquired as we will do what google and others do with de.searching.com or searching.com/de and this is simply being acquired for re-direct traffic to whatever eventually becomes the German site. Also, with .EU being pushed and .ASIA it makes owning individual countries less not more attractive.

That said I will contact you again when we are ready to proceed.

Contract Please read carefully the following terms and conditions for the sale of searching.de.

1. Purchase Object and Purchase Price

The object of this purchase agreement of 10/17/2007 is the domain name searching.de as well as, where applicable, the related Internet project. The purchase price shall amount to 7,000.00 EUR including any statutory tax that may be incurred (for instance VAT). Upon request, the seller will issue the buyer with a receipt of the purchase price.

2. Warranty and Liability

a) The Seller guarantees that he/she is the owner of the aforementioned purchase object and may freely dispose of it. Furthermore, he/she guarantees that the purchase object is not encumbered by the rights of third parties and that he/she has, up to now, received neither warnings or preliminary injunctions related to the purchase object nor in any other way, legally or extra-judicially, become aware of the violation of third-party rights or of a violation against applicable law.

b) Any other warranty upon the part of the Seller for legal defects is excluded. This shall not apply in the event that the Seller has maliciously concealed a legal defect.

c) Otherwise, the Seller shall be liable only for damages which are based upon intentional wrongdoing or gross negligence upon the part of the Seller, his/her legal representatives or vicarious agents. This shall not apply for damages due to loss of life, bodily injury or damage to health, in the event of the provision of express guarantees by the Seller as well as for the violation of essential contractual obligations.

3. Processing the Transaction

a) The contractual parties are in agreement that the technical transaction of the domain name and the transaction of the purchase price shall be processed via Sedo GmbH, Im Mediapark 6, 50670 Cologne, and/or Sedo LLC, One Broadway, 14th floor, Cambridge, MA 02142, USA.

b) In the relationship to Sedo GmbH, the respectively valid Business Terms and Conditions and Transfer Terms and Conditions of Sedo GmbH shall apply for a party to a purchase agreement who is the Customer of Sedo GmbH. In the relationship to Sedo LLC, the respectively valid Terms and Conditions and Transfer Terms and Conditions of Sedo LLC shall apply for a party to a purchase agreement who is the Customer of Sedo LLC.

c) The parties of a purchase agreement shall be obliged to each other and to Sedo GmbH or Sedo LLC to provide the necessary cooperation in order to successfully complete the transaction.

d) In the event of a violation, Sedo GmbH shall have the right to abort the transfer and to demand the commission from the contractual party who has violated his/her obligation to cooperate.

e) Payment must be remitted to Sedo with five (5) business days from the creation of the payment request.

4. Applicable Law

Provided that the Seller and the Buyer can agree upon this, the contractual relationship between them shall be subject to the law of Massachusetts, USA.

5. Invalid Contractual Provision

In the event that a contractual provision, in whole or in part, should be or become invalid, then the validity of the remainder of this agreement shall remain unaffected.
